Buzzi Unicem's capital stock is made up of 165.3 million ordinary shares and 40.7 million savings shares. Both shares have been listed on the Borsa Italiana since 1999 (Reuters BZU.MI). Market capitalization as of December 31, 2011 was about euro 1,254 million.
Par value of all categories of shares is euro 0.60. Each ordinary share gives right to one vote. Savings shares, that are not entitled to voting rights, can be either registered or non registered, depending on the shareholders preference. Savings shares are entitled to a preference dividend equal to 5% of par value and a total dividend equal to ordinary shares dividend plus 4% of par value. In case of no dividend distribution, the right to the preference dividend is carried forward over the two following years.
Buzzi Unicem is controlled by the Buzzi Family, who holds approximately 58% of ordinary shares. About 24% of voting capital is held by foreign investors.
Buzzi Unicem is strongly committed to ensure a proper return to its shareholders, also in terms of dividends. Following a continuous growth between 2001 and 2007, starting from 2008 the slow down in economic results required to reduce dividend payments. In 2010, in a move to further strengthen the financial structure, a resolution was taken to distribute the minumum dividend to savings shareholders only. The consolidated net profit achieved in 2011 has allowed again a dividend payout to both savings and ordinary shareholders.
